Reading of the Minutes of the previous meeting. Business arising from the adoption of such minutes. Correspondence. Treasurers Report. Registrars Report. Reports of Sub - Committees and / or Members Special Business. General Business. At an Extraordinary General Meeting of the Phoenix only business conducted shall be that for which the meeting was specifically called. To deal with matters of extreme urgency the order of business may be altered or Standing Orders suspended on a vote of the Board of Directors. If thirty [ 30 ] minutes subsequent to the appointed time of the meeting a quorum be not present such meeting shall lapse. Public Liability and Insurance. The Phoenix through its Board of Directors shall ensure that adequate cover is in place for the purposes of Public Liability and Insurance, to cover any eventuality that may arise under its jurisdiction and Duty of Care. The income and property of the Phoenix shall be applied solely toward the promotion of the ideals and objects of the Phoenix. No portion of the income or property shall be paid, transferred or distributed directly or indirectly to the members of the Phoenix or its Board of Directors, provided that nothing shall prevent the payment in good faith of remuneration to any officer or employee of the Phoenix or to any person other than a member, in return for services rendered to the Phoenix. Dissolution. Dissolution of the South West Phoenix.F.C. shall only be put in motion at an Annual General Meeting or an Extraordinary Meeting called for that purpose. At such a meeting three fourths [3/4] of those present and entitled vote shall determine by resolution after the motion has been duly put whether the Phoenix shall be dissolved. Upon dissolution of the Phoenix a Liquidator shall be appointed to wind up the affairs of the Phoenix. All property of the Phoenix shall be realised and sold and the monies obtained thereby with any money in hand shall be used in the first instance to discharge the costs and charges incurred by said dissolution. All other debts and liabilities of the South West Phoenix.F.C. shall be discharged secondary to the first instance above. Any surplus of monies remaining after all liabilities have been realised and paid, shall be distributed to another incorporated body with similar objects. This Incorporated Association shall be decided upon and named at the meeting called for said dissolution. Any property or buildings that have been leased by the South West Phoenix.F.C. would revert back to the Lessor. The Lessor would determine future use of such property and buildings, with recommendations from the South West Phoenix.F.C. |
